1. AGREEMENT TO TERMS

Welcome to Such As ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Such As, concerning your access to and use of the websites located at suchas.ca, getsuchas.com, and suchas.ai (collectively, the "Platform").

BY ACCESSING OR USING THE PLATFORM, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. ACADEMIC INTEGRITY & ETHICAL USE

Such As is a platform for extracurricular collaboration, not academic dishonesty.

By using this Platform, you strictly agree NOT to:

  • Post, share, or request solutions to active homework assignments, exams, or quizzes.
  • Use the Platform to facilitate plagiarism or contract cheating.
  • Violate the academic integrity policies of the University of Waterloo or your respective educational institution.

We reserve the right to report serious violations of academic integrity to the appropriate university authorities if compelled by law or safety concerns.

3. INTELLECTUAL PROPERTY RIGHTS

A. Your Content (User IP):

You retain full ownership of the projects, code, text, and assets ("Content") you post to Such As. We do not claim ownership of your work. However, by posting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and reproduce your Content solely for the purpose of operating, displaying, and promoting the Platform (e.g., featuring your project in our "Showcase").

B. Collaborator Disputes:

Such As is a neutral venue. We are NOT responsible for disputes regarding equity, ownership, or intellectual property rights between you and your collaborators. We strongly recommend agreeing on ownership terms with your team in writing before beginning a project.

C. Our IP:

The Platform source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "System Content") are owned by or licensed to us and are protected by copyright and trademark laws.

4. USER REPRESENTATIONS

By using the Platform, you represent and warrant that:

  • (1) All registration information you submit will be true, accurate, current, and complete;
  • (2) You have the legal capacity and you agree to comply with these Terms;
  • (3) You are not under the age of 13;
  • (4) You will not use the Platform for any illegal or unauthorized purpose;
  • (5) Your use of the Platform will not violate any applicable law or regulation.

5. PROHIBITED ACTIVITIES

You may not access or use the Platform for any purpose other than that for which we make the Platform available. Specifically, you agree not to:

  • Systematically retrieve data or other content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us (No Scraping).
  • Trick, defraud, or mislead us or other users.
  • Make improper use of our support services or submit false reports of abuse.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Platform to you.
  • Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Platform.

6. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Platform. We cannot guarantee the Platform will be available at all times.

7. DISCLAIMER

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORM AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY (NUCLEAR CLAUSE)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUCH AS, ITS FOUNDERS, OWNERS, AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, DEVELOPERS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, THE "SUCH AS PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

  • (A) DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES;
  • (B) DAMAGES RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN;
  • (C) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT;
  • (D) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE.

TOTAL LIABILITY CAP: NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR $50.00 CAD.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Such As Parties, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Platform; (3) breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Platform with whom you connected via the Platform.

10. GOVERNING LAW

These Terms shall be governed by and defined following the laws of Ontario, Canada. Such As and yourself irrevocably consent that the courts of Ontario shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

11. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Platform, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Platform, satisfy any legal requirement that such communication be in writing.
